Hands-On Management, Experienced Oversight
One of Adaro Energy’s unique characteristics is that it is not owned or controlled by a single family, but by members of five well-respected Indonesian families — Edwin Soeryadjaya, Theodore Permadi Rachmat, Garibaldi Thohir, Ir. Subianto and Sandiaga S. Uno. They collectively own about 65% of our shares, with no one having outright control.

They acquired Adaro in 2005 through the largest leveraged buyout in Indonesian history, with approximately US$923 million of debt funding and US$50 million of equity. In 2008 they listed 35% of the company, or 11 billion shares, on the Indonesia Stock Exchange. The IPO raised Rp12.2 trillion (about US$1.3 billion at the time).

Four of these five are variously members of the Board of Directors or Board of Commissioners. Each of these bodies has clearly segregated duties and responsibilities, with the directors exercising day-to-day operational and strategic management and the commissioners exercising strategic oversight and audit roles.

Given that each party operates individually, there is a natural system of checks and balances in place, ensuring decisions are made with great consideration for the best interests of Adaro Energy and long-term value creation. Our controlling shareholders fully support the company’s growth plans and view themselves not as owners but as partners in implementing strategies to create positive energy from Indonesian coal.

Our management style is one that encourages debate and discussion. Results-oriented, the Board of Directors is comprised both of members who have been with Adaro since the first tonne of Envirocoal was extracted more than 20 years ago and relatively new members who have served with international firms abroad.

Further, among the group of controlling shareholders are the founders and past executives of PT Astra International, one of Indonesia’s most respected and well-governed corporations. Astra was sold in 1998, and these shareholders have made Adaro Energy their new flagship company, bringing with them a wealth of knowledge and experience. The idea of owning and controlling the coal supply chain, for example, was based on their experience in building and developing Astra.

Board of Commissioners

Mr Soeryadjaya is 66 and an Indonesian citizen. He is the son of the late William Soeryadjaya, founder of PT Astra International Tbk (Astra). He was appointed President Commissioner of PT Adaro Energy Tbk in 2008.

He obtained a bachelor’s degree in Business Administration from the University of Southern California in 1974 and joined Astra in 1978. He helped lead Astra’s financial restructuring and path to IPO from 1987 to 1990, and left in 1993 as Vice President Director. In 1998, he and Sandiaga Uno founded Saratoga Capital, a investment company diversified into mining, infrastructure, oil, gas, toll roads, plantations, ports and cruises.

He is also President Commissioner of PT Adaro Strategic Investments, PT Adaro Strategic Lestari, PT Adaro Strategic Capital, PT Viscaya Investments, PT Biscayne Investments, PT Dianlia Setyamukti, PT Saratoga Investama Sedaya Tbk, PT Tower Bersama Infrastucture Tbk, PT Mitra Pinasthika Mustika Tbk and PT Lintas Marga Sedaya. He is a Director of Interra Resources Limited.

He is also Chairman of the Adaro Bangun Negeri Foundation and co-founder of William Soeryadjaya Foundation and is on the Supervisory Board of the Ora Et Labora Foundation.

Mr Rachmat, usually known as Teddy, is 72 and an Indonesian citizen. He started his career at PT Astra International Tbk in 1968 after graduating from the Bandung Institute of Technology with a degree in mechanical engineering. He was appointed Vice President Commissioner of Adaro in 2008.

He was President Director of Astra from 1984 to 1998, served as a Commissioner from 1998 to 2000, was then President Director again from 2000 to 2002, then served as President Commissioner from 2002 to 2005.

He was also a Commissioner at PT Multi Bintang Tbk from 2002 to 2007. He was the founder of Triputra Group and currently is President Director of PT Triputra Investindo Arya and Vice President Commissioner of PT Surya Esa Perkasa Tbk.

He is also a Commissioner of PT Adaro Strategic Investments, PT Adaro Strategic Lestari, PT Adaro Strategic Capital, PT Viscaya Investments, PT Biscayne Investments and PT Dianlia Setyamukti. He serves on the Supervisory Board of Adaro Bangun Negeri Foundation.

Ir. Subianto, usually known as Benny, is 73 and an Indonesian citizen. He is a graduate of Bandung Institute of Technology in mechanical engineering, and was appointed as Commissioner of PT Adaro Energy Tbk in 2008.

He started his career in the heavy equipment division of PT Astra International Tbk. He helped to found PT United Tractors Tbk and joined as Director in 1972, became President Director in 1984, and was a Commissioner and then President Commissioner from 1997 to 1999.
He founded PT Persada Capital Investama in 2003 and is currently President Director.

He is also Commissioner of PT Adaro Strategic Investments, PT Adaro Strategic Lestari, PT Adaro Strategic Capital, PT Viscaya Investments, PT Biscayne Investments and PT Dianlia Setyamukti. He serves on the Supervisory Board of the Adaro Bangun Negeri Foundation.

Mr Setyawan is 76 and an Indonesian citizen. He was appointed an Independent Commissioner of PT Adaro Energy Tbk in 2008.

He earned a bachelor’s degree in mechanical engineering from Bandung Institute of Technology in 1962 and a diploma in ballistic engineering from the University of Belgrade’s Yugoslavian Military Science and Industry Institute in 1966.

He served in the Indonesian Army, reaching the rank of lieutenant colonel before retiring in 1981. He joined PT United Tractors Tbk in 1982, initially serving as a manager and later as Director and Commissioner until 1998.

He was also a Senior Vice President of PT Astra International Tbk from 1989 to 1997, President Director of PT Astra Mitra Ventura from 1992 to 1997, Asia Regional Director of GIBB Ltd from 1997 to 1999, Executive Vice President of PT Raja Garuda Mas from 2000 to 2002, Independent Commissioner of PT Pembangunan Jaya Ancol Tbk from 2004 to 2011, and President Commissioner of PT Jakarta Propertindo from 2010 to 2013.

He is also Chief Supervisor of Adaro Bangun Negeri Foundation.

Dr. Pardede is 55 and is an Indonesian citizen. He was appointed an Independent Commissioner of PT Adaro Energy Tbk in 2010.

He is an economist and researcher, and earned a chemical engineering degree from Bandung Institute Technology in 1984 and a doctorate in economics from Boston University in 1995.

On graduation, he founded the Danareksa Research Institute, a pioneer on early warning indicators, consumer confidence index surveys and business sentiment indexes. He was Chief Economist and Division Head from 1995 to 2000 and was Executive Director from 2002 to 2004.

He was Vice Co-ordinator of the assisting team to the Indonesian Minister of Finance from 2002 to 2004. In 2010, he co-founded Creco Consulting with former Finance Minister Chatib Basri, and is currently its Managing Partner.

Board of Directors

Mr Thohir is 50 and an Indonesian citizen. He was appointed President Director of PT Adaro Energy Tbk in 2008.

The son of Teddy Thohir, co-founder of PT Astra International Tbk, he earned a BBA from the University of Southern California in 1988 and an MBA from Northrop University, California, in 1989.

After graduating, he bought a stake in PT Allied Indocoal in a joint venture with an Australian firm, and developed an extensive network that helped him create a new business opportunities. In 1997, he formed motorcycle financing company PT Wahana Ottomitra Multiartha (WOM Finance). He led it to a US$150 million valuation and took it public in 2004.

In 2005, he joined Edwin Soeryadjaya, Theodore Rachmat, Ir. Subianto and Sandiaga Uno and acquired PT Adaro Indonesia, and took it public in 2008.

He is also President Commissioner of PT Alam Tri Abadi, PT Adaro Indonesia, PT Semesta Centramas, PT Laskar Semesta Alam, PT Paramitha Cipta Sarana, PT Adaro Power, PT Mustika Indah Permai, PT Bukit Enim Energi, PT Bhakti Energi Persada, PT Adaro Persada Mandiri, PT Rehabilitasi lingkungan Indonesia, and PT Agri Multi Lestari. He is on the Supervisory Board of the Adaro Bangun Negeri Foundation.

He is also President Director of PT Adaro Strategic Investments, PT Adaro Strategic Lestari, PT Adaro Strategic Capital, PT Viscaya Investments, PT Biscayne Investments, PT Dianlia Setyamukti, PT Surya Esa Perkasa Tbk and PT Trinugraha Thohir.

Mr Rachmat is 42 and an Indonesian citizen. He was appointed Vice President Director of PT Adaro Energy Tbk in 2008.

The son of Adaro’s Vice President Commissioner Teddy Rachmat, he earned a bachelor’s degree in Industrial Engineering from Northwestern University in Illinois in 1995. His early experience included as a business analyst for A.T. Kearney from 1995 to 1996 and operations researcher and supply chain manager of PT Toyota Astra Motors from 1996 to 1998. After a spell at his family’s Triputa Group, he brought his experience to Adaro in 2005.

He is President Commissioner of PT Saptaindra Sejati, PT Adaro Logistics, PT Jasapower Indonesia, PT Adaro Eksplorasi Indonesia, PT Adaro Mining Technologies, PT Indonesia Bulk Terminal and PT Puradika Bongkar Muat Makmur. He is also Commissioner of PT Adaro Indonesia, PT Alam Tri Abadi, PT Mustika Indah Permai, PT Maruwai Coal, PT Kalteng Coal, PT Sumber Barito Coal, PT Juloi Coal, PT Lahai Coal, PT Ratah Coal, PT Pari Coal, PT Bhakti Energi Persada, PT Paramitha Cipta Sarana, PT Semesta Centramas, PT Laskar Semesta Alam, PT Maritim Barito Perkasa, PT Harapan Bahtera Internusa, PT Adaro Power, PT Adaro Persada Mandiri, PT Rehabilitasi Lingkungan Indonesia and PT Agri Multi Lestari.

Mr Tendian is 49 and an Indonesian citizen. He was appointed Director of PT Adaro Energy Tbk in 2008.

He earned a degree in economics and marketing from the University of Illinois, graduating with honors and distinction, in 1989. He earned an MBA from the same university in 1991.

He worked in several international banks and private equity firms in North America, including Sakura Bank, Standard Chartered Bank, Chase Manhattan Bank, PricewaterhouseCoopers and Citibank. After more than a decade, he returned to Indonesia and worked with a bank and a number of coal companies before joining PT Adaro Indonesia in 2006.

He is Director of PT Adaro Indonesia, PT Alam Tri Abadi, PT Viscaya Investments, PT Biscayne Investments and Orchard Maritime Limited.

He is also Commissioner of PT Bhakti Energi Persada, PT Paramitha Cipta Sarana, PT Semesta Centramas, PT Laskar Semesta Alam, PT Saptaindra Sejati, PT Jasapower Indonesia, PT Adaro Eksplorasi Indonesia, PT Adaro Mining Technologies, PT Adaro Logistics, PT Indonesia Bulk Terminal, PT Puradika Bongkar Muat Makmur, PT Adaro Power, PT Adaro Persada Mandiri, PT Rehabilitasi Lingkungan Indonesia and PT Agri Multi Lestari.

Mr Chia is 56 and a Malaysian citizen. He was appointed a Director of PT Adaro Energy Tbk in 2008.

He earned a degree in civil engineering from the University of Windsor in Canada in 1984. After a project in Penang, Malaysia, he ran a contract mining company in East Kalimantan then joined PT Adaro Indonesia in 1991 as operations manager for its South Kalimantan mine. PT Adaro Indonesia rewarded his success with a period of study at prestigious European business school INSEAD in 1998. He has three decades experience in civil construction and open-cut mining in Southeast Asia and almost 25 years with PT Adaro Indonesia.

He is President Director of PT Adaro Indonesia, PT Alam Tri Abadi, PT Jasapower Indonesia, PT Adaro Mining Technologies, and PT Mustika Indah Permai, and also a Director of PT Bhakti Energi Persada, PT Viscaya Investments, PT Biscayne Investments, PT Maruwai Coal, PT Kalteng Coal, PT Sumber Barito Coal, PT Juloi Coal, PT Lahai Coal, PT Ratah Coal, PT Pari Coal and PT Bhakti Energi Persada.

Mr Aman is 48 and an Indonesian citizen. He was appointed a Director of PT Adaro Energy Tbk in 2011.

He earned a law degree from the University of Indonesia in 1990, and LLM (Master of Laws) from the University of Washington in 1992. He returned to Indonesia and worked as a lawyer at the firms Minang, Warman, Sofyan SH & Associates and Lubis, Ganie & Surowidjojo before joining Adaro in 1996.

He is the President Director of PT Adaro Persada Mandiri, PT Rehabilitasi Lingkungan Indonesia, dan PT Agri Multi Lestari, as well as a Director of PT Alam Tri Abadi.

He is also the President Commissioner of PT Bukit Bara Alampersada, and Commissioner of PT Adaro Indonesia, PT Adaro Logistics, PT Saptaindra Sejati, PT Mustika Indah Permai, PT Paramitha Cipta Sarana, PT Semesta Centramas, PT Laskar Semesta Alam, PT Jasapower Indonesia, PT Adaro Eksplorasi Indonesia, PT Adaro Mining Technologies, PT Indonesia Bulk Terminal, PT Puradika Bongkar Muat Makmur, PT Maritim Barito Perkasa, PT Harapan Bahtera Internusa, PT Adaro Power and PT Sarana Rekreasi Mandiri.

Mr Aslan is 52 and an Indonesian citizen. He was appointed a Director of PT Adaro Energy Tbk in 2013.

He earned a bachelor’s degree in electrical engineering from the National Institute of Science and Technology, Jakarta. He has more than two decades of professional experience, primarily in senior human resources positions. He started as a management trainee at PT Astra International Tbk and was appointed Corporate Human Resources Chief in 2001.

He was appointed Human Resources Director of Bank Permata in 2004, of PT Astra Agro Lestari Tbk in 2006 and of PT Astra Honda Motor in 2007 before becoming Marketing Director of PT Astra Honda Motor in 2009.

He is Director of PT Adaro Indonesia and PT Alam Tri Abadi, and a Commissioner of PT Saptaindra Sejati, PT Adaro Mining Technologies, PT Adaro Logistics, PT Adaro Power, PT Indonesia Bulk Terminal and PT Puradika Bongkar Muat Makmur.

Mr Prawiroatmodjo is 61 and an Indonesian citizen. He is the newest member of the Board of Directors of PT Adaro Energy Tbk, appointed in 2014.

He earned a bachelor’s degree in mechanical engineering from Sepuluh Nopember Institute of Technology, Surabaya, in 1978, and an MBA from the University of Southern California in 1990.

He started his career at PT Federal Motor in 1978, rose to Manufacturing Director and left in 1997. He was Executive Vice President Director of PT Astra Honda Motor from 2007 to 2009, President Director of PT Astra Otoparts Tbk from 2009 to 2013 and after that a Commissioner until 2015.

He is President Commissioner of PT Indonesia Multi Purpose Terminal and Commissioner of PT Saptaindra Sejati, PT Jasapower Indonesia and PT Adaro Logistics.
